TITL, INC. — TERMS OF SERVICE

These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “User”) and Titl, Inc., a Delaware corporation (“Titl,” “we,” “us,” or “our”). These Terms govern your access to and use of Titl’s websites (including titl.co), your purchases, and your use of Titl’s digital products, reports, and related services (collectively, the “Services”).

By accessing or using the Services, purchasing a product, or clicking “I Agree,” you accept these Terms. If you do not agree, do not use the Services.

If you (or your organization) have a separate signed agreement with Titl, that agreement controls where it conflicts with these Terms.

1. DEFINITIONS

  • Services — All websites, finished digital reports, property/title data packages, summaries, visualizations, documents, downloads, and features provided by Titl.
  • Data — Any information, public-record information, or third-party content included in any Titl product.
  • Public Records — Data sourced from clerks, recorders, assessors, courts, or other public repositories.
  • Output — Any finished informational product, report, summary, or analysis delivered by Titl (including AI-assisted content).
  • User Content — Information you provide to Titl (e.g., account details, payment info, search inputs).

2. NATURE OF SERVICES; IMPORTANT DISCLAIMERS

Titl aggregates and delivers informational property, title, lien, ownership, and related real-estate data sourced primarily from Public Records and third-party providers. Titl does not verify or audit Public Records. Public Records may be inaccurate, incomplete, delayed, misindexed, or erroneous.

All Outputs are informational only. They are not:

  • a title commitment
  • a title policy
  • a legal opinion
  • an abstract of title
  • a boundary survey
  • an appraisal
  • underwriting advice

You must independently verify all information before relying on it in any real-estate or financial transaction.

FCRA NOTICE: Titl is not a consumer reporting agency. Outputs may not be used for employment, housing, insurance, credit decisions, or any purpose regulated by the FCRA.

3. ELIGIBILITY

You must be at least 18 years old and capable of entering into a legally binding contract.

4. ACCOUNT

You agree to provide accurate information and keep your login credentials confidential. You are responsible for all activity under your account.

5. PURCHASES, PAYMENTS, TAXES, REFUNDS

  • Payment — All purchases must be paid in full at checkout.
  • Delivery — Products are delivered digitally immediately or within the timeframe displayed during your purchase.
  • Refunds — All sales are final except for duplicate purchases, corrupted/unopenable files, or Titl’s material failure to deliver your product. Refund requests must be submitted within 7 days.
  • Taxes — You are responsible for all applicable taxes.

6. LICENSE & PERMITTED USE

You receive a limited, non-exclusive, non-transferable license to use purchased Outputs for personal or internal business purposes only.

You may NOT:

  • resell, redistribute, or republish Outputs
  • create derivative databases or competing products
  • misrepresent Outputs as a title commitment or legal opinion
  • remove proprietary notices
  • share Outputs with third parties without written consent

Unauthorized use terminates your license immediately.

7. NO API; NO BULK ACCESS; NO SCRAPING

Titl does not provide APIs, raw datasets, or bulk data feeds. You may not scrape, crawl, automate access, or harvest data from Titl.

8. COMPLIANCE WITH LAW

You are responsible for complying with all laws when using Outputs, including marketing rules, fair housing laws, privacy laws, anti-discrimination laws, and do-not-call/email rules.

9. PUBLIC RECORDS DISCLAIMER; USER VERIFICATION DUTY

Public Records may contain errors, delays, missing documents, duplicates, or misindexed entries. Titl does not guarantee the accuracy, completeness, or reliability of any Data or Output. You must independently verify all information.

10. AI-ASSISTED CONTENT

Outputs may use automation and AI. AI may generate incomplete or inaccurate content. You must independently review all Outputs.

11. INTELLECTUAL PROPERTY

All intellectual property in the Services and Outputs belongs to Titl or its licensors. You acquire no ownership rights.

12. PRIVACY

Your use of the Services is governed by the Titl Privacy Policy.

13. WARRANTY DISCLAIMER

THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TITL DISCLAIMS ALL WARRANTIES, INCLUDING:

  • accuracy, completeness, reliability
  • merchantability, fitness for a particular purpose
  • non-infringement

14. LIMITATION OF LIABILITY

  • Exclusive Remedy — Re-delivery of the product or refund of the purchase price (Titl’s choice).
  • Cap on Liability — Total liability shall not exceed the greater of the amount paid for the product or $50.
  • No Consequential Damages — Titl is not liable for lost profits, loss of data, business interruption, reliance damages, indirect or incidental damages, or damages resulting from inaccurate Public Records or missed alerts.

15. INDEMNIFICATION

You agree to indemnify Titl for claims arising from misuse of Outputs, violation of these Terms, violation of law, or reliance on Outputs without verification.

16. GOVERNING LAW

These Terms are governed by the laws of Delaware.

17. DISPUTE RESOLUTION & ARBITRATION

  • Notice — Send written notice to hello@titl.co and mail a copy to Titl, Inc., Attn: Legal, 21 SE 1st Ave, Unit 606, Miami, FL 33131. Include your name, contact info, description of dispute, documentation, and amount sought.
  • 60-Day Informal Resolution — Titl has 60 days to attempt resolution.
  • Binding Arbitration — Unresolved disputes resolved by confidential, binding individual arbitration in Delaware (AAA rules). No class actions.
  • 3-Month Limitation — Claims not filed within 3 months are permanently barred.

18. TERMINATION

Titl may suspend or terminate accounts for violations. Upon termination, your license ends and you must stop using Outputs.

19. UPDATES

We may update these Terms at any time by posting a new “Last Updated” date.

20. DATA USE AUDIT RIGHTS

Titl may audit your use of the Services and Outputs to verify compliance with these Terms. You must cooperate and provide requested information. Non-compliance or unauthorized use may trigger corrective actions, including liquidated damages.

21. LIQUIDATED DAMAGES FOR DATA MISUSE, SCRAPING, OR RESALE

Unauthorized scraping, resale, redistribution, or derivative use of Outputs triggers liquidated damages equal to the greater of:

  • $25,000 per violation
  • $1,000 per record improperly accessed or distributed
  • Three times any revenue derived from unauthorized use
    In addition to termination, reimbursement, and injunctive relief.

22. PROHIBITION ON AI TRAINING / MODEL DEVELOPMENT

You may not use Outputs or Services to train AI models, LLMs, or machine learning systems, or create derivative datasets for predictive modeling. Violation triggers immediate termination and liquidated damages.

23. NO COMPETITIVE BENCHMARKING / REVERSE ENGINEERING

You may not benchmark, reverse-engineer, or analyze the Services to build competing products or replicate methodology. Violation is a material breach and triggers enforcement under Section 21.

24. DATA FINGERPRINTING / WATERMARK ENFORCEMENT

Outputs may contain digital identifiers or watermarks. You may not remove or bypass them. Circumvention constitutes unauthorized access and triggers enforcement under Section 21.

25. NO GOVERNMENT OR BULK COMMERCIAL USE WITHOUT ENTERPRISE LICENSE

You may not provide Services or Outputs for bulk, institutional, or governmental use without a separate enterprise license. Unauthorized use triggers enforcement under Section 21.

26. PRIVACY POLICY SUMMARY

  • Information Collected: name, email, billing info, device info, IP, analytics, search inputs, public-record-derived data.
  • Use: deliver products, process payments, improve security, comply with law.
  • Sharing: with service providers, legal authorities, affiliates, or in corporate transactions. No sale of personal information.
  • Data Retention: as long as necessary; aggregated/de-identified data may be retained indefinitely.
  • Security: commercially reasonable measures; no system is 100% secure.

27. ENTIRE AGREEMENT

This Master Checkout Agreement is the full agreement between you and Titl for your product purchase. No other statements, marketing materials, or communications modify these Terms.
